A Sale and Purchase Agreement (SPA) is the legally binding contract between a property buyer and a developer or seller in Malaysia. It governs every aspect of your property purchase — from the price and payment schedule to when you receive your keys and what happens if there are defects.

1. Vacant Possession (VP) Date

This is the date by which the developer must hand over your unit. For new developments, the standard is 24–36 months from the signing date. Check whether the developer has broad extension rights, and what compensation you receive if VP is late.

2. Defect Liability Period (DLP)

The DLP is the period after VP during which the developer must fix any defects at their cost. Under the HDA 1966, the minimum DLP is 24 months. A shorter DLP is a red flag — push back before signing.

3. Liquidated Ascertained Damages (LAD)

LAD is the compensation you receive if the developer delivers VP late. The standard rate under the HDA is 10% per annum of the purchase price, calculated daily. Some SPAs try to reduce this rate — do not accept less than 8%.

4. Payment Schedule and Forfeiture

Review when each instalment is due and what triggers each payment. Also check the forfeiture clause — what percentage of your payments the developer can keep if you default.

5. Force Majeure

Events that excuse the developer from meeting VP deadlines. Red flag: broad force majeure that covers normal construction delays without buyer compensation.
